Terms of Service

YELLOW NOTE provides a university musician directory, musician and venue profiles, venue discovery and booking-request tools, educational music-rights resources, and related support. Administrators create and manage musician and venue records.

YELLOW NOTE helps introduce musicians and venues, but does not guarantee that a venue will respond, offer a performance, agree to particular terms, or complete a booking. Any performance agreement, payment, safety requirement, age restriction, or venue rule must be confirmed directly by the applicable musician and venue.

You are responsible for keeping your sign-in credentials confidential and for activity under your account. Notify YELLOW NOTE promptly if you believe your account has been accessed without authorization.

You may not use the service to harass others, impersonate another person, scrape or resell directory data, send spam, upload unlawful or infringing material, interfere with site security, or use contact information for purposes unrelated to legitimate music collaboration, networking, or booking. We may suspend or terminate access when reasonably necessary to protect members, venues, YELLOW NOTE, or the service.

YELLOW NOTE All Access costs $10.00 USD per month. It is a recurring digital subscription billed in advance and automatically renews each month until canceled. There is no free trial. Applicable taxes, if any, are displayed before payment.

All Access currently includes access to YELLOW NOTE partner venues, the accelerated booking process associated with those relationships, and occasional member opportunities such as eligibility to be considered for a weekly newsletter feature. Venue availability, booking outcomes, and newsletter placement are not guaranteed.

Payments are processed by Stripe. By submitting payment information through Stripe Checkout, you authorize Stripe and YELLOW NOTE to charge the displayed amount on a recurring monthly basis until cancellation. We may change future subscription pricing or features after giving reasonable advance notice and obtaining consent where required by law.

You may cancel at any time from the Stripe-hosted billing portal by signing in, visiting the All Access page, and selecting “Manage billing.” You may also request help through the public Contact Us page or by calling (615) 854-8205.

Unless otherwise stated during cancellation, cancellation takes effect at the end of the current paid billing period. You retain access until that date and will not be charged for another renewal unless you reactivate. Subscription charges are generally non-refundable and are not prorated for unused time, subject to our Refund & Cancellation Policy and applicable law.

You retain ownership of content you provide for a profile or request that an administrator add. You grant YELLOW NOTE a non-exclusive, worldwide, royalty-free license to host, reproduce, format, and display that content as needed to operate and promote the service. You represent that you have the necessary rights to provide it.

The YELLOW NOTE name, logo, site design, software, and original site materials are owned by or licensed to YELLOW NOTE. Music-rights resources are provided for general education and are not individualized legal, tax, or financial advice.

The service relies on third parties, including Stripe for billing, MongoDB Atlas for database hosting, Vercel for website hosting, Mailgun for email delivery, and Mapbox for mapping. Your use of third-party features may also be governed by those providers’ terms and privacy notices. YELLOW NOTE is not responsible for an interruption or act outside its reasonable control.

The service is provided “as is” and “as available.” To the fullest extent permitted by law, YELLOW NOTE disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted operation or the accuracy of member, venue, availability, or third-party information.

To the fullest extent permitted by law, YELLOW NOTE will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, opportunities, data, or goodwill. YELLOW NOTE’s aggregate liability arising from the service will not exceed the amount you paid to YELLOW NOTE during the twelve months before the event giving rise to the claim. These limits do not apply where prohibited by law.

We may update these Terms to reflect service, legal, or operational changes. Material changes will be posted with a new effective date and, when appropriate, communicated through the service or the contact information associated with your account. Continued use after the effective date constitutes acceptance where permitted by law.

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law rules. Any dispute not resolved informally will be brought in the state or federal courts serving Davidson County, Tennessee, unless applicable law requires otherwise.
